1. Who we are, and this agreement
Granttude is a service of Iteranium Inc., a federal Canadian corporation, of 85 Heartlake Road South, Brampton, Ontario L6W 3K1, Canada. In these terms, “we” means Iteranium Inc. and “you” means the organisation or person that holds the account or the subscription, and the people it invites.
By registering, signing up, accepting an invitation or using Granttude you agree to these terms and to our privacy policy. If you accept for an organisation, you confirm that you are authorised to bind it. If you are not, do not use the service.
These terms, the privacy policy and the sign-up you sign (online, on paper or on a tablet) are the whole agreement between us. Where your signed sign-up and these terms differ, the sign-up decides the businesses covered, the term, the markets and the price.
2. Words used in these terms
- Subscription: the paid service in your signed sign-up, for one market, on one term.
- Businesses covered: the business named on the sign-up and any other businesses listed on it, and no others.
- Application: one application for one funding opportunity, prepared with you.
- Billing day: the day billing starts (section 8), and the same day of each later month. A month runs from one billing day to the day before the next.
- Business day: Monday to Friday, except a public holiday in Ontario.
3. What the service is
Granttude reads the published eligibility rules of public funding against the facts you give us about your organisation, and tells you which rules stand in your way and what clearing each could take. On a paid subscription we also prepare applications with you, and a second qualified person reviews every one before it is handed to you.
The service is information and preparation, not legal, tax, accounting or investment advice, and we are not your agent, lawyer or fiduciary. Where you need such advice, take it from a professional licensed to give it.
4. What we never promise
- No outcome is guaranteed. Funders decide, on their own rules and judgement.
- No fee is charged per application. If an application is funded, you choose who builds what it pays for: Iteranium, under a separate contract, or another provider, in which case you pay us a commission on the award, set in your agreement before you sign. Nothing more is charged on an application that is not funded.
- You sign, file and speak to the funder. We prepare and review; we do not contact a funder on your behalf, and we do not lobby anyone for you.
- A reading reflects the rules we hold on the date it is taken and states what it did not check. Rules change; we read them again, but the funder’s own documents decide.
- We choose which applications we prepare for you from your strongest matches. We do not promise any particular funder, programme or number beyond what your subscription states.
5. Your account
You register and sign in with a work account from Google or Microsoft, or as we otherwise approve in writing. Give accurate information, keep your sign-in credentials to yourself, and tell us at once if you think someone else has used your account. Each person signs in as themselves, and you are responsible for what is done under your organisation’s accounts. We may ask you to confirm your email address, and Iteranium staff are always asked for a second factor.
6. What one subscription covers
- A subscription covers the businesses covered, and no others. One person may hold one subscription for several businesses they act for, and confirms, by listing a business, that they are authorised to act for it and to give us its information.
- Across all the businesses covered, we prepare at most two applications a month in total. Two applications a month for any organisation, chosen by Iteranium from your strongest matches, each prepared with you and reviewed by a second qualified person, with no other charge for preparing them. An allowance not used in a month does not carry over to a later month and is not refunded.
- Adding a business needs our written agreement and may change the price from the next month.
- We prepare applications from what you give us. If documents or answers we ask for arrive too late for a funder’s deadline, we are not responsible for the missed deadline, and we may choose another application for that month.
7. How the price is set
- For up to 100 people on the payroll and revenue under $1,000,000, the price is $1,999 a month on a 3-month term, $1,799 a month on a 6-month term, $1,599 a month on a 9-month term, $999 a month on a 12-month term.
- By size: 10% more for each further 100 employees, up to 500, each price rounded to the nearest ten dollars and shown one dollar below it.
- By revenue in the last full fiscal year: $150 more a month for each full $500,000 of revenue above $500,000, up to $2,000,000. Only each full step counts.
- Above 500 people or $2,000,000 in revenue there is no fixed price; we agree it with you in writing before you sign.
- Where a subscription covers several businesses, the price is set from the largest of them by people and by revenue.
- The price is set from the number of people and the revenue you give at sign-up, and stays the same for the whole term. If either was understated, we may correct the price from the next month after telling you, and the difference for earlier months is owed.
- Each subscription covers one market: Canadian public funding, priced in Canadian dollars, or United States public funding, priced in US dollars. Holding both is two subscriptions, each at the price shown.
- A price offered at an event applies for the whole term signed at that price. A later term is at the price we then offer, which we tell you before you renew. Our usual price for 12 months is shown on our front page.
- Every price is before tax. Applicable taxes are added to each charge from your business address and shown on your invoice.
8. The onboarding call, and when billing starts
- We hold an onboarding call with you within 10 business days of signing.
- Billing starts on the day of that call, and the term runs from that day. If you are not available for the call within those 10 business days, billing starts on the tenth business day.
- Nothing is charged before billing starts.
9. Payment
- You pay by credit card. You enter the card yourself on the secure page of our payment provider, Stripe; we never see or keep the card number.
- You authorise us to charge that card on each billing day, in advance, for the month’s price and applicable taxes, for every month of the term. We keep the card on file for that purpose only. Keep it valid, and replace it before it expires.
- Invoices and receipts are sent by email to the address you give for them.
- If a payment fails we tell you, and give you at least seven days to pay another way before anything is suspended. Suspension does not end the term or what is owed for it.
- An amount unpaid thirty days after it was due bears interest at 1.5% a month (18% a year) until paid, and you pay the reasonable costs of collecting it.
- Raise any question about a charge with us first, at the address in section 24, within 60 days of the charge. We answer within ten business days.
10. The term: fixed, with no cancellation
- A subscription is for the whole term you sign (3, 6, 9 or 12 months). It is a fixed-term contract: you cannot cancel it before the term ends, and every monthly payment of the term is owed, whether or not you use the service in a month.
- A twelve-month subscription billed monthly is still a twelve-month commitment; paying monthly is a way of paying, not a right to stop.
- It does not renew by itself. When the term ends, the subscription ends unless you renew it in writing. We tell you at least thirty days before the term ends, with the price for a new term.
11. Ending early, suspension and refunds
- We may suspend the service, or end it, at once if you break these terms in a serious way, give us false information, do not pay within thirty days of a charge failing, or put the service, its people or other organisations at risk. We tell you why, unless the law prevents it. If we end it for one of these reasons, the fees for the rest of the term become due at once.
- You may end the subscription if we break these terms in a serious way and do not put it right within thirty days of your written notice. We then refund what you paid for any part of the term after it ends.
- If we end the service for any other reason, we refund the unused part of any time you have paid for, and nothing further is owed for the rest of the term.
- You may ask us to delete your account at any time, as the privacy policy describes; that does not end the term or what is owed for it.
12. What you give us, and how you may use the service
- You are responsible for the accuracy and completeness of everything you give us, and for telling us promptly of a change that matters: who owns or runs a business, its people, its revenue, its address. We prepare applications from what you give us and do not audit it. A funder may hold you to what is filed in your name, and you alone decide to sign and file it.
- You confirm you have the right to give us your documents and any personal information in them.
- You keep your rights in your documents, your organisation’s facts and the applications filed in your name. You give us permission to use them to provide the service to you.
- We keep our rights in Granttude, its readings, methods, software, templates and content. We give you a personal, non-transferable right to use them for the businesses covered.
- You will not copy, resell or scrape the service or its content, share an account, probe or interfere with the service or another organisation’s records, or use it to give false information to a funder or to anyone.
13. Other organisations applying to the same funding
We may help other organisations apply to the same programme as you. We never share your work, plans, figures or documents with another organisation, and we do not promise that you will be the only applicant we help.
14. Confidentiality
We keep your information confidential, as the privacy policy sets out. You keep ours: our readings, methods, the prices we quote you and anything we mark as confidential stay within the businesses covered and your professional advisers, and are not given to anyone else. This lasts after the subscription ends.
15. Your information
How we collect, use, keep and protect your information, and how to have it deleted, is set out in our privacy policy, which is part of these terms.
16. The assistant and other automated help
Where the service uses an AI model, it reads, explains, drafts or extracts; people decide, review and file. It can be wrong. Nothing it says is a statement by us until a person at Iteranium has confirmed it, and it never decides whether you are eligible.
17. Third-party content and services
Funders’ rules, websites and decisions, and the services of Google, Microsoft, Stripe and other providers, are not ours. We are not responsible for them, for their availability, or for changes to them.
18. Electronic signatures and records
You agree to sign electronically: on a screen, on a tablet, or by ticking a box. A signature made that way binds you as a signature in ink would. The PDF made when you sign, kept with its digital fingerprint, is the record of what you signed, and a copy of it is as good as the original. You agree to receive notices, invoices and receipts by email.
19. Language
You have asked for these terms and every document under them to be in English. Until a French version is available, a subscription under these terms is not offered to an organisation based in Quebec.
20. No warranty
To the extent the law allows, the service is provided “as is” and “as available”. We make no promise that it will be uninterrupted or error free, or that a reading or an application will be complete, current or fit for your purpose, beyond the commitments written in these terms.
21. Responsibility
To the extent the law allows, our total responsibility for all claims connected with the service is limited to the fees you paid us in the twelve months before the first claim arose. We are not responsible for indirect, special, consequential or lost-profit losses, including funding not awarded, a missed deadline, a funder’s decision, or a loss that follows from information you gave us. Nothing in these terms limits a responsibility that the law does not allow to be limited.
You will compensate us for losses, claims and reasonable costs that arise from your breach of these terms, from information or documents you gave us that you had no right to give, or from an application you filed that was false or misleading.
22. Events outside our control
We are not in breach of these terms where something outside our reasonable control prevents or delays us, including a failure of a provider or the internet, a change in a funder’s rules, or an act of government.
23. Changes to these terms
We will tell you of a change at least thirty days before it applies to you, and, where it matters, ask you to agree to the new version. A change never alters the price, the term or the businesses covered of a subscription already signed; those change only with a new sign-up or a written agreement. If you do not agree to another change, tell us before it applies and the version you signed continues to apply to you until your term ends.
24. The law that applies, notices and general terms
These terms are governed by the laws of Ontario and the federal laws of Canada that apply there, and the courts of Ontario decide any dispute. Notices to us go to grants@iteranium.com; notices to you go to the email address on your sign-up, and either may change its address by notice. If a part of these terms is found unenforceable, the rest stays in force. A right we do not use on one occasion is not given up. You may not transfer these terms without our written consent; we may transfer them to a successor of our business. What these terms say about payment, confidentiality, responsibility and the law that applies continues after the subscription ends.
